Terms and Conditions

1. General

These Terms and Conditions govern the use of services provided under the FOUNDR brand, which is used by and operates under Gordias Investments OÜ (hereafter "FOUNDR"). By using our website or services you confirm that you have read and accept these terms.

2. Services

FOUNDR provides corporate structuring, Estonian company formation, onboarding, and related advisory services. The exact scope, timeline, and fees are agreed in a separate engagement letter with each client.

3. Fees and payment

All prices are exclusive of VAT unless stated otherwise. Government fees, notary fees, translations, apostilles, and third-party fees are billed separately. Fees are payable within the term stated on each invoice.

4. Client obligations

The client must provide accurate and complete information, respond to requests within a reasonable time, and comply with applicable KYC and compliance requirements. FOUNDR may suspend or terminate services if the client fails to meet these obligations.

5. Limitation of liability

FOUNDR delivers services with professional care but does not guarantee specific outcomes (such as bank approval or e-Residency issuance). FOUNDR's total liability per engagement is limited to the fees actually paid by the client.

6. Confidentiality

All client information is treated as strictly confidential and shared only as required by law or with the client's written consent.

7. Intellectual property

All materials, templates, and methodologies created by FOUNDR remain its property. The client receives a personal, non-transferable license to use the delivered work for its internal operations.

8. Termination

Either party may terminate the engagement in writing. Upon termination, the client pays for all work performed and costs incurred up to the termination date.

9. Governing law

These terms are governed by the laws of the Republic of Estonia. Disputes shall be resolved by Harju County Court unless otherwise agreed.
